 Aimtron Electronics Acquires US Firm to Expand ESDM

Aimtron Electronics Limited has strengthened its global footprint with the acquisition of US-based International Control Services, Inc. (ICS Company), a move aimed at expanding its electronics system design and manufacturing (ESDM) capabilities and deepening its presence in high-reliability industrial segments. The acquisition was announced on January 23, 2026, marking a key milestone in Aimtron’s international growth strategy.

The transaction values ICS Company at approximately USD 17 million, based on calendar year 2025 revenue estimates. Aimtron plans to begin consolidating the acquired entity’s revenues from the fourth quarter of FY26 and has set a target to scale the business to nearly USD 25 million in revenue over the next three years.

Headquartered in Decatur, ICS Company operates a 58,000-square-foot manufacturing facility spread across about 3.9 acres. The facility currently runs at roughly 54 percent capacity utilization, offering significant headroom for expansion. Aimtron intends to raise utilization levels to around 90 percent over the next three years through improved procurement efficiency, operational leverage, and selective capacity enhancements.

The acquisition brings strategic benefits for Aimtron, including access to mission-critical industrial customers and advanced engineering expertise. ICS Company serves leading global original equipment manufacturers such as Caterpillar and John Deere, with operations spanning sectors including agrotech, oil and gas, mining, heavy engineering, hardened electronics, and medical technology. The deal also adds experienced engineering talent, proprietary intellectual property, and long-standing customer relationships to Aimtron’s portfolio.

Mukesh Jeram Vasani, Founder of Aimtron Electronics Limited, said the acquisition represents a decisive step in the company’s global expansion, significantly strengthening its North American presence while enhancing engineering depth. He noted that the integration supports Aimtron’s ambition of evolving into a comprehensive ESDM platform with global reach.

Dennis Espinoza, Founder and Chief Executive Officer of ICS Company, said the partnership combines ICS’s engineering expertise with Aimtron’s global manufacturing scale, enabling the delivery of more advanced and reliable solutions for customers operating in demanding environments. He highlighted rising demand for rugged electronics across critical industrial applications.

According to Nirmal Vasani, Chief Operating Officer of Aimtron Electronics, the acquisition aligns with the company’s “Glocal” strategy, blending US-based engineering precision with India’s large-scale manufacturing ecosystem. He described the transaction as a significant step toward Aimtron’s long-term goal of becoming a ₹1,000 crore global ESDM powerhouse.

Chris Espinoza, Vice President of ICS Company, pointed out that the company’s Midwest location positions it advantageously within North America’s key agricultural regions, supporting growing demand for advanced agrotech and industrial electronics solutions.

Aimtron stated that the acquisition is expected to be margin- and earnings-per-share supportive from the first year, while remaining aligned with its return on capital and equity benchmarks. The deal follows recent initiatives including the incorporation of Aimtron Mechatronics in Gujarat and the raising of ₹100 crore through preferential convertible warrants, both of which are expected to support the company’s ambitious growth plans over the next three years.
